CONSTITUTION & BY-LAWS  
                                      OF THE
          BOSQUE COUNTY AMATEUR RADIO CLUB  
                       & REPEATER
ASSOCIATION
 

Preamble:

         The BOSQUE COUNTY AMATEUR RADIO CLUB & REPEATER ASSOCIATION is a non-profit corporation Chartered by the state of Texas. Its purpose is to lend radio and other communication assistance to federal, state and local agencies in times of emergency, including, but not limited to times of impending storms and severe weather, and to assist in disaster relief operations and other community functions; to lend radio and other communication assistance to non-profit civic groups; to stimulate adherence to a code of ethics both written and understood; to encourage compliance with existing Federal Communication Commission rules; to promote and further the science of amateur radio; and to foster efficiency in the operation of amateur radio through public education.

ARTICLE I

Membership:

Section 1 All persons interested in Amateur Radio communication shall be eligible for membership.

Section 2 There shall be four categories of membership: Individual, Family, Associate and Student.

Section 3 Any person attending an accredited institution of learning on a full-time basis will be eligible for Student
                 membership.

Section 4 All Individual, Family and Student members who are Licensed Amateurs are eligible to participate in all voting
                 activities.

Section 5 An Associate and/or unlicensed member may not become an Officer or Director, nor participate in voting for
                 Officers & Directors, nor vote on amendments to the Constitution & By-Laws.

Section 6 Membership shall be by application and simple election at a regular club meeting after payment of dues.

ARTICLE II

Dues:

Section 1 A regular annual assessment due on or before the July meeting will be made for the purpose of providing the
                 funds required for the operation of the club.

Section 2 Currently, the dues are set at $20 for Individual, $25 for Family, $10 for Associate and $5 for Student
                 membership. Changes to the amount of the dues can be made at any regular meeting if recommended by a
                 majority of the Board of Directors and if approved by simple majority of eligible members present at the meeting.

Section 3 Membership dues received after October from applicants who were not members the previous year, shall be
                 1/12 of the annual dues for each month remaining in the year.

Section 4 Members must have all dues paid-in-full in order to be eligible to become an Officer or Director, participate in
                 nominations for Officers & Directors, vote for Officers & Directors or vote on amendments to the Constitution
                 & By-Laws.

ARTICLE Ill

Officers & Board of Directors:

Section 1 The Officers of this club shall be: President, Vice-President and Secretary/Treasurer.

Section 2 The Board of Directors of this club shall consist of the club Officers plus two Directors elected from the club
                 membership at-large.

Section 3 A Trustee shall be appointed by the Board of Directors.

Section 4 All Officers, Directors and the Trustee shall be members of the club (other than Associate member) and hold a
                 valid FCC Amateur Radio Operators license.

Section 5 The Officers and Directors of this club shall be elected for a term of one year by a majority vote of the members
                 present, at the club’s regular meeting each August. Nominations will be accepted at the July meeting and
                 immediately before the elections at the August meeting. Public notice of the election will be provided prior to
                 the August meeting. New Officers and Directors shall assume their duties at the September meeting. 
                
Section 5 was amended July 14, 2001

Section 6 The Trustee’s term of appointment runs concurrently with the repeater station license.

Section 7 Vacancies occurring between elections must be filled by special elections at the first regular meeting held after
                 announcement of the vacancy at a regular monthly meeting. Nominations and election shall be by simple majority
                 vote of the eligible members present at the special election. Term of service shall be for the duration of the
                 uncompleted term.

Section 8 Officers and Directors may be removed by a 3/4 vote of the eligible membership.

ARTICLE IV

 

Duties of Officers and Directors:

Section 1 The President shall preside at all club and Board meetings, and conduct them according to the rules adopted.
                 He shall enforce due observance of this Constitution & By-Laws; decide all questions of order; sign all official
                 documents adopted by the club, and perform all other duties pertaining to the office of President. He shall have
                 the authority to appoint committees. He shall coordinate all functions of the club.

Section 2 The Vice-President shall assist the President in the performance of his duties and shall preside over meetings
                  in the absence of the President.

Section 3 The Secretary/Treasurer shall record the minutes of all Board of Directors and club meetings; shall maintain
                 an orderly file of the minutes of the meetings and all other documents as designated by the President; shall
                 conduct correspondence related to club business; shall collect all monies; shall maintain an orderly accounting
                 system which shall include all club assets; shall submit a complete financial report to the membership at the end
                 of each term of office and at such other times as requested by the President or Board; shall maintain such
                 records and submit such reports as are required by taxing authorities; shall keep an accurate record of the
                 membership; and shall dispense monies as directed by the membership or Board of Directors. He shall
                 preside over meetings in the absence of both the President and the Vice-President.

Section 4 It shall be the responsibility of the Board of Directors to interpret the Constitution & By-Laws and to set policy
                 for the club in accordance with the wishes of the membership.

Section 5 The Trustee shall be considered as the club’s technical director. As such he shall manage the establishment,
                 maintenance, and improvement of all club repeaters and associated equipment.

 

ARTICLE V

Meetings:

 

Section 1 Regular club meetings shall be held each month at a time and place decided upon by the membership.

Section 2 Special club meetings may be called by the President or any 3 members of the Board of Directors.

Section 3 A petition, signed by 10 eligible members and forwarded to the Secretary/Treasurer, that requests a special
                 club meeting and states the reason for same, will also justify a special club meeting.

Section 4 The President shall call a Board meeting when deemed necessary or when so requested by at least
                 2 Board members.

 

ARTICLE VI

 

Amendments and Rules of Order:

 

Section 1 Amendments to the Constitution & By-Laws shall be approved by vote of no less than 2/3 of all eligible
                 members; or 2/3 of the eligible members in attendance at a meeting provided all members have been
                 notified in writing that a vote will be taken on Amendments at that meeting.

Section 2 Roberts Rules shall govern proceedings.

 

ARTICLE VII

 

Dissolution:

 

Section 1 Upon dissolution, all club assets shall be donated to other radio dubs, a charitable organization or as voted by
                 the remaining members.

Section 2 No Director, Officer or other club member shall receive any compensation or personal gain from the dissolution
                 of the club and its assets.

 

ARTICLE VIII

 

Ratification:

Section 1   This Constitution & By-Laws dated 8/10/96, shall be effective immediately upon ratification.
